The U.S. Securities and Exchange Commission (SEC) sets the standard for what qualifies someone as an accredited investor under Regulation D of the Securities Act of 1933.
To qualify as an accredited investor, an individual or entity must meet one or more of the following requirements:
Individual Income Test
Earned income exceeding $200,000 (or $300,000 jointly with a spouse or spousal equivalent) in each of the past two years. Must reasonably expect to earn the same income in the current year.
Net Worth Test
A net worth of at least $1 million, individually or jointly with a spouse or spousal equivalent.
This excludes the value of the investor’s primary residence.
Professional Certification or Designation
Individuals holding certain professional certifications, designations, or credentials that demonstrate financial sophistication, as approved by the SEC. Examples include:
- Series 7 (General Securities Representative)
- Series 65 (Investment Adviser Representative)
- Series 82 (Private Securities Offerings Representative)
Knowledgeable Employees of Funds
Individuals who are “knowledgeable employees” of private funds (such as hedge funds, venture capital, or private equity) may qualify as accredited investors for investments in those funds.
Entities
Certain organizations, such as:

Trusts with total assets over $5 million (not formed for the specific purpose of purchasing securities) where the investments are directed by a sophisticated person.

Entities (corporations, LLCs, partnerships) with total assets exceeding $5 million.

Any entity where all equity owners are accredited investors.
Family Offices
Family offices with at least $5 million in assets under management and their “family clients” may qualify.
